KLAS provides information concerning private-practice transitions, practice sales and acquisitions, practice valuations, buyer representation, transition planning, mentorship, real estate coordination, and related professional resources for medical, dental, veterinary, and other independent healthcare practices.
The Website is intended to provide general information about KLAS and its available services. Using the Website does not, by itself, create a consulting, brokerage, fiduciary, attorney-client, accountant-client, financial-advisory, agency, or other professional relationship between you and KLAS.
A formal service relationship is established only after all required agreements have been reviewed and signed by the appropriate parties.

Practice values, purchase prices, sale proceeds, transaction timelines, buyer availability, financing outcomes, tax consequences, and closing results depend on numerous factors outside KLAS's control.
Any examples, price ranges, valuation figures, multiples, timelines, savings estimates, case studies, testimonials, or other results appearing on the Website are illustrative only. They are not promises, warranties, or guarantees that you will obtain the same or similar results.
Past performance and client experiences do not guarantee future outcomes.
KLAS does not guarantee:
- That a practice will sell;
- That a buyer will obtain financing;
- That a transaction will close within a particular timeframe;
- That a valuation will equal the final purchase price;
- That a seller will receive a particular amount;
- That a buyer, seller, lender, landlord, attorney, accountant, or other participant will complete a transaction; or

Submitting a consultation request does not obligate you to hire KLAS and does not obligate KLAS to accept an engagement.
KLAS may decline or discontinue discussions where an engagement would create a conflict, violate applicable requirements, fall outside our capabilities, or otherwise be inappropriate.
5. Confidential and Sensitive Information
KLAS understands that practice-transition discussions may involve confidential business information. We use reasonable measures to protect information submitted to us, subject to our Privacy Policy and any separate confidentiality or service agreement.
However, you should not submit through a general Website form:
- Patient names or patient records;
- Protected health information;
- Social Security numbers;
- Bank account or payment-card details;
- Account passwords;
- Highly sensitive employee information;
- Unredacted tax returns;

- A valuation is an estimate or opinion, not a guaranteed sale price;
- Market conditions may change after the valuation date;
- The valuation may rely on information supplied by the practice owner or third parties;
- KLAS is entitled to assume that information supplied to us is accurate and complete;
- KLAS is not responsible for undisclosed liabilities, inaccurate records, omitted facts, or later changes in the practice;
- A valuation may not satisfy requirements imposed by a lender, court, taxing authority, insurer, government agency, or other third party; and
- The valuation may not be used for purposes outside its stated scope without written authorization.
Any lifetime-update feature, credit toward a future commission, or similar benefit is governed by the written terms in effect when the valuation is purchased. Eligibility may depend on continued availability of the program, the customer's compliance with applicable requirements, and execution of a separate transition-services agreement.
7. Transition, Brokerage, and Representation Services
Website descriptions of transition, brokerage, buyer-advocacy, consulting, real estate, contract, valuation, or related services are general summaries only.
The exact scope of services, compensation, payment obligations, exclusivity requirements, responsibilities, termination rights, and other engagement terms will be contained in a separate written agreement.
If these Website Terms conflict with a signed service agreement, the signed service agreement controls with respect to the applicable services.
KLAS may be required to work through licensed brokers, real estate professionals, attorneys, accountants, appraisers, or other qualified individuals where required by applicable law or professional rules.

- Legal, accounting, tax, real estate, investment, or other professional outcomes; or

Any referral, introduction, or inclusion in a KLAS resource network is not a guarantee or warranty of a third party's performance.
9. Digital Products and Educational Materials
KLAS may sell downloadable guides, templates, checklists, worksheets, courses, videos, or other digital materials through the Website.
Unless otherwise expressly stated at checkout:
- Digital products are licensed for the purchaser's personal or internal business use only;

- Reliance on Website content;
- Loss of revenue, profits, opportunities, goodwill, or data;

- Conduct or services of a third party;
- Unauthorized access to information; or

TO THE FULLEST EXTENT PERMITTED BY LAW, KLAS'S TOTAL LIABILITY ARISING OUT OF YOUR USE OF THE WEBSITE OR PURCHASE OF A WEBSITE DIGITAL PRODUCT WILL NOT EXCEED THE GREATER OF:
- The amount you paid to KLAS for the specific Website product giving rise to the claim during the preceding twelve months; or
- One hundred U.S. dollars ($100).
This limitation does not replace or modify any liability provision contained in a separately signed service agreement.
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.
19. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless KLAS Solutions, LLC and its owners, officers, employees, contractors, agents, and affiliates from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from:
- Your unlawful or unauthorized use of the Website;
- Information or materials you submit;
- Your violation of these Terms;
- Your violation of another person's rights; or
- Your fraud, willful misconduct, or material misrepresentation.
20. Governing Law and Venue
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles.
Any legal action arising exclusively from use of the Website and not governed by a separate written agreement must be brought in a state or federal court located in Greenville County, South Carolina that has proper jurisdiction over the dispute.
You and KLAS consent to the personal jurisdiction of those courts.
Any separately signed agreement may contain different governing-law, venue, mediation, arbitration, or dispute-resolution provisions. When applicable, those provisions will control disputes concerning that agreement.
21. Time Limit for Website Claims
To the fullest extent permitted by law, any claim arising exclusively from use of the Website must be filed within one year after the event giving rise to the claim.
This provision does not shorten a limitations period where doing so is prohibited by law and does not override a different period established in a separately signed agreement.
22. Termination

These Terms, together with the Privacy Policy and any additional terms presented during a Website purchase, constitute the entire agreement concerning your use of the Website.
Separate signed agreements govern professional, consulting, valuation, brokerage, transition, buyer-representation, or other paid services.
